Ms. Kinlaw is a transactional attorney focusing her practice on assisting public and start-‐up companies with a broad range of corporate and compliance issues. She has spent the past 13 years as senior in-‐house counsel for public companies advising executive management and the boards of directors with respect to securities, finance, mergers and acquisitions, governance, compliance and general corporate matters. Her experience includes:

- SEC filings (1933 Act and 1934 Act)
- Public and private offerings of debt and equity; credit facilities
- Stockholder meetings; proxy statements
- Corporate governance matters, including corporate secretary functions
