Ms. Kinlaw is a transactional attorney focusing her practice on assisting public and start-­‐up companies with a broad range of corporate and compliance issues. She has spent the past 13 years as senior in-­‐house counsel for public companies advising executive management and the boards of directors with respect to securities, finance, mergers and acquisitions, governance, compliance and general corporate matters. Her experience includes:

Public companies

  • SEC filings (1933 Act and 1934 Act)
  • Public and private offerings of debt and equity; credit facilities
  • Stockholder meetings; proxy statements
  • Corporate governance matters, including corporate secretary functions
  • Entity-­‐level compliance matters (e.g., insider trading, records retention,whistleblower, FCPA, codes of conduct)
